List of Florida Corporation's who act as their own Registered Agent.

You may be on this page because you cannot find a third-party (outside) registered agent for a particular Florida corporation or entity. Or, perhaps you are curious why a Florida corporation would not have a third-party (outside) registered agent in Florida? It is Florida law that every corporate entity established as a corporation, of any type, in Florida must have a registered agent!

What Florida law does not require is a corporation or corporate entity must have a third-party (outside) registered agent! Therefore, many larger Florida corporations and corporate entities opt for appointing their own (in house) office as the registered agent; appointing one of its owners, director(s) or employee(s) to handle the responsibility of accepting lawsuits, subpoena’s and legal correspondence for the business! Larger Florida corporate entities who maintain their own registered agent, in house, may have a legal department, paralegal representative or an attorney on staff to accept service of process, subpoena’s and all legal correspondence.

Whether a Florida corporation or corp. entity utilizes an outside registered agent or an in-house employee to act as its own registered agent, service of process upon any Florida corporate entity can be made by serving a specific named person. In the absence of the actual named person (registered agent) an authorized employee of the registered agent is required to accept service between the hours of 10:00 am and 12:00 pm, Monday through Friday. A registered agent can be served during during any other business hours but is not required to making herself / himself or anyone else available.

Here is a list of the top Florida corporations and entities that do not have a third party (outside) registered agent and handle R/A responsiblities in house. In addition, these corporate entities are where we can serve lawsuits and deliver subpoena's, demand and notification letters at their corporate headquarters where and when the registered agent is in house only.

Sometimes knowing the correct entity to serve process upon is a difficult task. We cannot stress enough, the importance of confirming the exact entity name you are seeking to have your urgent documents delivered to. The above industies and professional corporations use various shields and alter ego type companies making service of process difficult and at times technical. We offer guidance and assistance to our clients and can simplify the matter for you. When you find yourself confronted with such a challenge contact us for immediate relief. We are eager to assist you and hope to be your Florida contact for any and all service of process of lawsuits and the delivery of subpoena's and time sensitive correspondence to a FL corporate entity.

Why would a Florida corporation not have an outside registered agent?

Florida corporations and entities such as the list above have elected to not have a third-party / outside registered agent. We will never know the reasons why or the logic behind such a decision, but it seems odd that a big fluid and well known corporate entity or corporation would put their office in the position of having process servers appear at their reception area only to announce, “I am a process server and have a lawsuit to deliver to your company!” Or, “I am a process server and have a subpoena for your office!” Whatever a process server says it cannot be a pleasant environment having process servers appear unannounced and create an unsettling experience for the person at the front desk reception area.

Most Florida corporations hire outside registered agents to keep process servers away from their offices where problems or, at minimum, avoid giving the perception the company has legal issues. The cost of a registered agent service is minimal and serves many legal and general purposes. The obvious benefit is no more process servers appearing unannounced at the office!

There are many other reasons to hire a registered agent to handle process servers such as, but not limited to, electronic reminders of compliance deadlines, real time notifications and calendar notes for quarterly reports and annual filings. We recommend you contact, for more information about hiring a Florida Registered Agent.

OK, back to Florida entities who exist without an outside registered agent. Whatever the circumstances may be, as process servers we serve lawsuits, subpoena’s and legal documents to Florida corporations, entities and registered agents regardless of the location or person designated to accept service. Corporations and entities as well as registered agents are targets that must be served on time and in accordance with applicable law. It makes no difference if we serve legal process or deliver urgent documents upon an in-house registered agent or a third-party registered agent, we serve them the same way – the proper way!

Service of process upon a Florida corporation or entity and NOT upon its registered agent takes place at the known physical address of the entity. The known address can be a commercial location or a residential address. Process Servers work and effect services at either type of address and are handled the same way! However, the rules and statutes allow us greater latitude and flexibility to serve process upon a corporate entity at a residence! We can explain this to you, if needed. Just email or call for additional details and we will be happy to explain.

A.C.E. Process Servers in Florida makes no distinction nor does it value judge any corporate entity or registered agent as more or less important than another. We serve small sole proprietorships at residential addresses and we serve process upon the largest Florida corporations. Small or large corporations, home based or otherwise, service of process upon a Florida corporation or entity will be served the exact same way and in within the agreed time frame.

No Florida corporation, its directors or registered agents, can avoid our process serving services! When presented with the challenge of serving process upon a small business and we encounter elusive or uncooperative owners, managers or directors; we will hunt them down. We will stake out their location, follow them or family members and even set up surreptitious appointments to meet with them. Whatever it takes, we are on it, guaranteed! No corporate defendant, witness, registered agent or authorized representative can avoid us; service will be made when and where necessary, guaranteed! Unlike smaller corporate entities, larger corporations, corporate entities and registered agent offices are usually cooperative and it’s just a matter of the process server acting professional, courteous and respectful to effect service at the appropriate time and place.
